Terms of Service

Please read these Terms of Service carefully and completely before using Flourish App or any services provided through or in connection with Flourish App by RealDocAI, Inc. ("RealDocAI," "we," "us," or "our"). Flourish is the brand name under which RealDocAI develops and operates Flourish App and related websites, applications, and technology services (collectively, the "Services"). These Terms of Service include the terms below together with the Privacy Policy, the Notice of Privacy Practices, and any other documents they expressly incorporate. By clicking "I Accept," creating an account, accessing the Services, or using the Services, you agree to be bound by these Terms.

These Terms contain provisions that govern how claims are resolved, including dispute resolution terms and limitations of liability. If you do not understand or do not agree to these Terms, do not use Flourish App or any services provided by RealDocAI.

We reserve the right to change, add, or remove portions of these Terms, the Privacy Policy, the Notice of Privacy Practices, and any documents incorporated herein at any time. Your continued use of the services after changes are posted means that you accept the changes. It is your responsibility to review these Terms periodically.

1. Account Responsibility

Certain parts of the services may require you to register or create an account. You must provide accurate, complete, and current registration information. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of your account. You may not use a false name, email address, phone number, or other information with the intent to impersonate another person.

Your account may be used only for your personal use. You are responsible for all activities that occur under your account. You agree to maintain the confidentiality of your password and account information, use commercially reasonable efforts to prevent unauthorized access to the services, promptly notify RealDocAI of unauthorized use, and comply with applicable laws when using the services.

2. General Service Terms

Subject to these Terms, RealDocAI grants you a non-exclusive and non-transferable right to access and use Flourish App and related services solely for your personal use and in accordance with any documentation made available by RealDocAI. The services are intended for users in the United States and are void where prohibited.

3. Clinical Services

RealDocAI operates the Flourish App technology platform and provides administrative and management support. RealDocAI does not provide medical advice, diagnosis, treatment, or clinical services.

Clinical services available through Flourish App are provided by Heather Hirsch MD PLLC, an independent affiliated medical practice (the "Clinical Practice"), and its licensed healthcare professionals ("Providers"). Clinical services may require separate clinical consents, intake forms, or care agreements.

Consultations are asynchronous. A Provider independently reviews the information submitted through Flourish App and makes the final clinical decisions. When clinically appropriate, the Provider may provide a clinician-authored care plan or send a prescription to the patient's pharmacy. Availability of clinical services depends on patient eligibility, the patient's location, Provider licensure, and the Provider's independent clinical judgment. Access to Flourish App, completion of an intake, or payment for a consultation does not guarantee that a Provider will prescribe medication, recommend a particular treatment, or determine that any treatment is clinically appropriate.

If medical advice, diagnosis, treatment, prescriptions, or other clinical services are provided to you, those services are provided by a Provider through the Clinical Practice, not by RealDocAI, Flourish App, or its AI Technology. Always contact your Provider or another qualified healthcare professional with questions about your personal health, symptoms, medications, treatment options, or medical condition.

Clinical services and practices may vary. Patients should contact the Clinical Practice through the support channels provided in the app for questions concerning medical care.

Flourish App is not intended to replace comprehensive primary care or all in-person medical care. A Provider may determine that an asynchronous consultation is not appropriate for a particular concern and may recommend synchronous telehealth care, an in-person evaluation, testing, or emergency care. You should not delay seeking appropriate medical care based on information provided through, or the availability of, the Services.

Do not use Flourish App for medical emergencies or urgent medical situations. If you believe you may have a medical emergency, call 911 or seek emergency care immediately.

4. AI Technology and Informational Content

Certain parts of the Services may use artificial intelligence programs and technologies ("AI Technology") to support patient navigation, collect information during intake, conduct an AI-assisted interview, organize or summarize information for clinical review, provide general health education, and help users understand clinician-authored care plans. AI Technology is new and evolving and may contain errors, misleading information, bias, or incomplete information. It may not be accurate, reliable, or appropriate for your individual circumstances.

AI Technology does not independently diagnose medical conditions, prescribe medication, select treatment, modify a patient's care plan, or make final clinical decisions. All personalized diagnoses, treatment recommendations, prescriptions, and changes to a patient's care are made by a licensed healthcare professional exercising independent clinical judgment. AI-generated content is informational only and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional regarding personal health questions.

5. Service Access and Changes

We reserve the right to withdraw, amend, suspend, or restrict all or part of the services at any time in our sole discretion. We are not liable if all or part of the services are unavailable at any time or for any period. While we make reasonable efforts to maintain current information, we do not guarantee that service content is complete, accurate, or up to date.

6. Acceptable Use

You agree not to misuse the services, interfere with platform security, impersonate another person, submit unlawful or harmful content, reverse engineer the platform, scrape or harvest content, send spam, or use the services in a way that violates applicable law or the rights of others.

You may not use the services to upload or transmit harmful code, infringe intellectual property rights, disrupt service operations, attempt unauthorized access, circumvent usage limits, record or process information about other users without authorization, or use automated means to access or retrieve content except as expressly permitted by RealDocAI.

You may not misuse or attempt to misuse clinical or prescription-related Services, including by seeking duplicative prescriptions without clinical justification; providing false, incomplete, or misleading medical, identity, or eligibility information; engaging in prescription abuse, diversion, fraud, or doctor-shopping; or attempting to obtain medication or clinical orders in violation of applicable law or professional standards. RealDocAI or the Clinical Practice may suspend access, decline to provide Services, or notify appropriate authorities where misuse or unlawful activity is reasonably suspected.

7. Privacy

Our collection, use, and disclosure of personal information is described in our Privacy Policy. Protected health information may also be subject to the Notice of Privacy Practices of Heather Hirsch MD PLLC.

8. Term and Termination

These Terms begin when you first access or use the services and continue until terminated as permitted herein. RealDocAI may suspend or terminate your access if you breach these Terms, create security or operational risk, or engage in conduct that RealDocAI determines may adversely affect its operations, users, providers, or reputation.

Upon termination, you may no longer have access to your account or content available through the Services. Termination or deletion of an account does not require deletion of clinical records that the Clinical Practice, or RealDocAI on its behalf, is required or permitted to retain under applicable law. Your rights to request access to, amendment of, or copies of protected health information are described in the Notice of Privacy Practices.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, outstanding payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and miscellaneous terms.

9. Minors

To create an account or use the services, you must be at least 18 years old or otherwise have legal capacity to enter into these Terms. The services are not intended for children under 18.

10. Electronic Communications

When you use the services or send emails, messages, or other communications from your device to us, you consent to communicate with us electronically. You agree that agreements, consents, notices, disclosures, and other communications we provide electronically satisfy legal requirements that such communications be in writing, to the extent permitted by law.

We may contact you by app message, email, telephone, mail, or other contact information you provide to verify information, request further information, provide account notices, and administer the services.

You acknowledge that text messages, phone calls, emails, and other electronic communications may be unencrypted and may carry some risk that information in those communications, including health-related information, could be read by an unauthorized person. You agree that your electronic actions, including tapping a button, checking a box, typing your name, using your finger or device controls, or otherwise selecting an item in the Services, may constitute your electronic signature and agreement where permitted by law.

11. SMS Terms for Account and Prescription Communications

Flourish App uses SMS text messages for transactional purposes, including one-time passcodes, login verification, two-factor authentication, account security, and prescription-routing or fulfillment communications. After a Provider issues a prescription, a pharmacy technology service provider, such as Photon, may send instructions or links for selecting a pharmacy and completing prescription-related next steps.

When you provide a mobile phone number and continue after seeing the applicable SMS disclosure, you consent to receive these transactional texts at that mobile number. Message frequency varies based on your account and prescription activity. Message and data rates may apply.

You may reply STOP to opt out of messages from the sending number or HELP for assistance. You may also contact support@joinflourish.app. Opting out may prevent you from receiving verification or prescription-related messages and may require an alternative process. Carriers are not liable for delayed or undelivered messages. SMS messages may not be available through all carriers or in all locations.

Opt-in confirmation message: "Flourish App: You are opted in for verification code texts. Message frequency varies. Msg&data rates may apply. Reply HELP for help or STOP to opt out."

HELP message: "Flourish App: For help, email support@joinflourish.app or visit joinflourish.app. Msg&data rates may apply. Reply STOP to opt out."

STOP message: "Flourish App: You are unsubscribed from verification code texts. No more SMS messages will be sent unless you request a new code or update SMS settings. Reply HELP for help."

RealDocAI does not sell or share mobile opt-in information or SMS consent with third parties for their marketing or promotional purposes. Service providers that help send transactional verification, account-security, prescription-routing, or fulfillment messages may process mobile information only to provide those services.

12. Fees, Purchases, and Consultation Access

Flourish App offers access to clinical consultations provided by Providers through the Clinical Practice. Fees apply to these clinical services and must be paid as disclosed at checkout before a consultation is submitted for clinical review. Flourish App may offer individual consultations or bundles of consultations.

Prices, included clinical services, expiration terms, cancellation rights, refund terms, and applicable taxes will be disclosed at the time of purchase or in the checkout flow. You authorize RealDocAI or its payment processor to charge the payment method you provide for all fees and charges due. A consultation will not be submitted for clinical review until the required payment is received.

Unless expressly stated otherwise at checkout, Flourish consultations are offered on a self-pay basis. RealDocAI and the Clinical Practice do not submit claims to, or seek payment from, health insurers on your behalf. You are responsible for all consultation fees. You may independently seek reimbursement from your health plan, but neither RealDocAI nor the Clinical Practice represents or guarantees that any fee will be covered or reimbursed.

Fees for clinical services may be collected by RealDocAI or its payment processor on behalf of, or otherwise made available to, the Clinical Practice as permitted by applicable law and any applicable clinical agreement.

13. Intellectual Property Ownership

Except for the limited use rights granted to you, all rights in and to the services, software, technology, content, trademarks, service marks, logos, and related materials are owned by RealDocAI or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify, publicly display, create derivative works from, or exploit the services except as expressly permitted by these Terms.

If you provide feedback, suggestions, or ideas, you grant RealDocAI a worldwide, perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

14. Trademarks

Trademarks, service marks, trade names, and logos used in connection with the services are the property of RealDocAI or their respective owners. No rights are granted to use any trademark except as expressly permitted in writing.

15. Payment Processor and Purchase Terms

Consultation fees may be processed by third-party payment processors. We do not store full payment card details unless expressly disclosed. Additional payment processor terms may apply. If a purchase includes unused consultation access, the availability, expiration, refundability, and transferability of that access will be governed by the terms disclosed at purchase and applicable law.

16. Confidentiality

Through the services, you may access non-public information about RealDocAI, the services, or related operations. You agree to use confidential information only as permitted by these Terms and not disclose it to third parties except as required by law.

17. Content

Content available through the Services may be created by RealDocAI, healthcare professionals, service providers, AI Technology, or other sources. Except for personalized medical advice expressly provided by a Provider through the clinical service, such content is provided for general informational purposes only. RealDocAI does not warrant that informational content is accurate, complete, current, or appropriate for every user. Informational content may contain errors or omissions and should not be used independently to diagnose or treat a medical condition. Personalized medical advice is provided only by a Provider exercising independent clinical judgment.

18. Third-Party Links and Technology

The services may contain links to, integrate with, or rely on third-party technology or services. Third-party services are provided for convenience or functionality only. RealDocAI does not control and is not responsible for third-party services, and your use of them may be subject to separate terms and privacy policies.

19. Disclaimer

The services are provided "as is" and "as available." To the maximum extent permitted by law, RealDocAI disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, and security.

20. Limitation of Liability

To the fullest extent permitted by law, RealDocAI will not be liable for incidental, indirect, special, consequential, exemplary, or punitive damages arising from or related to your use of the services. If RealDocAI is found liable, RealDocAI's liability will not exceed the amount you paid for the services in the twelve months preceding the event giving rise to the claim.

21. Indemnity

You agree to indemnify, defend, and hold harmless RealDocAI and its officers, directors, employees, contractors, agents, licensors, and suppliers from claims, damages, liabilities, losses, costs, and expenses arising from your violation of these Terms, misuse of the services, violation of law, or infringement of rights of another person or entity.

22. Void Where Prohibited

The services are intended for users in the United States and are void where prohibited by law. You are responsible for complying with laws that apply to your access to and use of the services.

23. Governing Law

These Terms and any dispute related to the services are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

24. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights. If a concern cannot be resolved informally, you and RealDocAI agree to resolve disputes individually and not as part of a class, consolidated, or representative action, to the fullest extent permitted by law. Before beginning a formal proceeding, each party agrees to attempt to resolve disputes in good faith through written notice describing the dispute.

Any arbitration terms that apply will be governed by the Federal Arbitration Act. Each party retains the right to bring an individual action in small claims court where permitted and to seek injunctive or equitable relief for actual or threatened intellectual property misuse or unauthorized access.

If you do not want to arbitrate where arbitration is required, you may opt out within 30 days of first accessing the services by sending written notice to RealDocAI through the contact information below. Unless you timely opt out, you and RealDocAI each waive the right to a jury trial and the right to participate in a class action to the fullest extent permitted by law.

25. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

26. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

27. Export Compliance

The services and associated technology may be subject to U.S. export control laws. You agree not to access, export, re-export, or use the services in violation of applicable export laws or sanctions.

28. Assignment

You may not assign or transfer your rights or obligations under these Terms without RealDocAI's prior written consent. RealDocAI may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.

29. Entire Agreement

These Terms, together with the Privacy Policy, Notice of Privacy Practices, and any documents incorporated by reference, constitute the entire agreement between you and RealDocAI regarding the services and supersede prior agreements regarding the services.

30. Clinical Disclosures

Providers performing licensed clinical services through Heather Hirsch MD PLLC hold professional licenses issued by the professional licensing boards or agencies in the states where they practice. You may report a complaint relating to care provided by a provider by contacting the professional licensing board in the state where care was received. Clinical records created as a result of your use of the services may be securely maintained by RealDocAI on behalf of Heather Hirsch MD PLLC for the period required by applicable state and federal law.

31. Apple App Store and Google Play

If you access or download Flourish App through the Apple App Store, these Terms are between you and RealDocAI, not Apple. RealDocAI, and not Apple, is solely responsible for Flourish App, its content, maintenance and support, and addressing claims relating to Flourish App, including product-liability, legal or regulatory, consumer-protection, privacy, and intellectual-property claims. Apple has no obligation to provide maintenance or support for Flourish App. Your license to use Flourish App is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Apple Media Services Usage Rules, including applicable Family Sharing or volume-purchasing provisions.

To the extent any warranty has not been effectively disclaimed, RealDocAI is responsible for that warranty. If Flourish App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund any purchase price paid for Flourish App; to the maximum extent permitted by law, Apple has no other warranty obligation. You must comply with applicable third-party terms when using Flourish App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you upon your acceptance.

If you access or download Flourish App through Google Play, these Terms are between you and RealDocAI, not Google. Your use of Flourish App must comply with the applicable Google Play terms. Google provides the marketplace through which Flourish App is distributed but is not responsible for Flourish App, its content, maintenance, support, or the Services. RealDocAI, and not Google, is solely responsible for Flourish App and for addressing claims relating to it. Google and its affiliates are third-party beneficiaries of these Terms as they relate to Flourish App.

32. Miscellaneous

No agency, partnership, joint venture, employment, or fiduciary relationship is created by these Terms. Section headings are for convenience only and do not affect interpretation. Any remedies available to RealDocAI are cumulative and not exclusive.
